SCIO-Fund SICAV-FIS is a Luxembourg investment company with variable capital (société d'investissement à capital variable, “SICAV”) under Part I of the law of 17 December 2010 regarding undertakings for collective investment, as amended (“UCI Law”). SCIO-Fund SICAV-FIS has several sub-funds, each having a segregated portfolio of assets and liabilities. The term “Fund(s)” refers to SCIO-Fund SICAV-FIS and each of its sub funds, SCIO Opportunity Fund and SCIO European Secured Credit IV. The Funds are regulated by the Luxembourg regulator the Commission de Surveillance du Secteur Financier (CSSF).
SCIO-Fund SICAV-FIS is an alternative investment fund (“AIF”) in accordance with the Luxembourg law of 12 July 2013 relating to alternative investment fund managers, as amended (the “AIFM Law”). The SCIO-Fund SICAV-FIS has appointed Waystone Management Company (Lux) SA (the “Management Company” or the “AIFM”) as its alternative investment fund manager. SCIO is the appointed portfolio manager of the Funds. The Fund has appointed Waystone Fund Services (Switzerland) SA, Av. Villamont 17, 1005 Lausanne, Switzerland as Swiss Representative of the Fund and Helvetische Bank AG, Seefeldstrasse 215, 8008 Zurich, Switzerland has been appointed as Swiss Paying Agent of the Fund.
Any offer may only be made in accordance with and pursuant to the prospectus of the Fund (which includes the Offering Memorandum Addendum for Switzerland) (a “Prospectus”), the articles of incorporation of the Fund (the “Articles”), the Key Investor Information Document (“KIID”) (as applicable) and the final application form. It is the responsibility of any user of this website wishing to apply for shares in the Fund to inform itself of and to observe all applicable laws and regulations of any relevant jurisdiction and to comply with and meet all the pre-conditions and terms set out in the Prospectus and Articles. Any Fund documents may be obtained free of charge from the Swiss Representative. In respect of the Shares offered in Switzerland, the place of performance is at the registered office of the Swiss Representative; the place of jurisdiction is at the registered office of the Swiss Representative, or at the registered office or domicile of the investor.

The Funds are not approved by FINMA for distribution in Switzerland to non-qualified investors. Accordingly, interests in the Fund as an AIF may only be offered and the Prospectus, as well as any documents made available this website, may only be distributed in or from Switzerland to qualified investors within the meaning of Art. 10 paras. 3 and 3ter CISA. Further, any interests in the Funds may be sold under a portfolio management agreement under the provisions of FinSA. Investors in the Funds do not benefit from the specific investor protection provided by CISA and the supervision by FINMA in connection with the approval for distribution.
